Terms and Conditions

1.1 Platform Role: AV97 Solutions provides a B2B marketplace connecting cheese producers with global buyers. We facilitate transactions but are not a party to the sale agreement between suppliers and buyers.

1.2 Eligibility: All users must be registered businesses with valid GST, FSSAI license, and export-import code (IEC) where applicable. Individual consumers are not permitted to use this platform.

1.3 Verification: All businesses must complete KYC verification including company registration, tax documents, and facility certifications before transacting.

2.1 Minimum Order Quantity: Minimum order quantity is 100kg per cheese variety. Trial samples may be requested separately with terms agreed upon with suppliers.

2.2 Payment Terms: Standard payment terms: 30% advance, 70% against shipping documents. Letters of Credit (LC) accepted from established buyers. Payment within 15 days of invoice for approved credit customers.

2.3 Import Documentation: Buyers are responsible for ensuring compliance with their country's import regulations. We provide all necessary export documentation including health certificates, certificates of origin, and commercial invoices.

3.1 Quality Standards: All cheese must meet ISO 22000 standards or equivalent. Suppliers must provide lab test reports, aging records, and maintain traceability documentation.

3.2 Production Capacity: Suppliers must maintain minimum production capacity of 500kg/month and be able to fulfill export orders consistently.

3.3 Payment to Suppliers: Suppliers receive payment within 15 days of shipment dispatch. Payments are processed in INR or USD as agreed. Volume bonuses apply for consistent supply.

4.1 Shipping Terms: All shipments are on FOB (Free On Board) basis unless otherwise agreed. Incoterms 2020 apply. AV97 Solutions can arrange shipping at buyer's request and cost.

4.2 Cold Chain Requirements: Fresh cheeses shipped at 2-4°C, aged cheeses at 10-12°C. Temperature monitoring devices are used for all shipments. Deviation reports provided if issues occur.

4.3 Insurance: All shipments are insured for 110% of invoice value. Insurance certificate provided with shipping documents.

5.1 Platform Fees: Buyers: 2% transaction fee on order value. Suppliers: 1% transaction fee. Annual membership: ₹25,000 for premium access to analytics and priority matching.

5.2 Documentation Fees: Export documentation: ₹5,000 per shipment. Certificate of Origin: ₹1,000. Health certificates: ₹2,000. Third-party lab tests at actual cost.

5.3 Fee Changes: Fees may be revised with 30 days notice. Continued platform use constitutes acceptance of revised fees.

6.1 Platform Content: All platform content, including listings, images, and data, is protected by copyright. Users may not reproduce or distribute without written consent.

6.2 Supplier IP: Suppliers retain all rights to their product images, descriptions, and brand materials. By listing on our platform, you grant us license to display and promote your products.

7.1 Quality Claims: Quality claims must be reported within 7 days of receipt. Samples must be retained for inspection. Third-party lab testing at NABL accredited labs will be binding.

7.2 Resolution Process: Disputes are first mediated by AV97 Solutions. If unresolved, binding arbitration under the Arbitration and Conciliation Act, 1996 in Gautam Buddha Nagar, UP.

8.1 Regulatory Compliance: All parties must comply with FSSAI regulations, customs laws, and international food safety standards. AV97 Solutions reserves the right to report violations to authorities.

8.2 Export Controls: Buyers must ensure compliance with their country's import regulations, including food safety, labeling, and quarantine requirements.
